Terms of Service

These Terms of Service (“Terms”) govern your use of the AlleeUp mobile application (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What AlleeUp is

AlleeUp is a marketplace that connects people who want a gym partner or informal training help (“Requesters”) with people who offer paid gym sessions (“Buddies”). AlleeUp is not a party to any session. Buddies are independent users — not employees, agents, or contractors of AlleeUp — and AlleeUp does not supervise, direct, or control sessions. Buddies are not required to hold professional training certifications, and AlleeUp does not verify professional qualifications.

2. Eligibility

You must be at least 18 years old to use AlleeUp. By using the Service you represent that you are 18 or older and legally able to enter into these Terms.

3. Payments, fees, and our role

Payments are processed by Stripe. When a Requester pays for a session, the payment is held by AlleeUp (acting as a limited payments agent for the Buddy) and released to the Buddy after the session is completed. The Requester pays the session price plus a payment-processing fee, which is shown before payment. Buddies receive the session price minus AlleeUp's platform fee of 15%. Receipt of funds by AlleeUp satisfies the Requester's payment obligation to the Buddy. Buddies must complete Stripe Connect onboarding (including Stripe's identity verification) to receive payouts.

4. Cancellations and refunds

Unpaid requests can be cancelled at any time at no charge. For paid sessions: if the Requester cancels more than 24 hours before the start time, the Requester receives a full refund; if the Requester cancels within 24 hours of the start time, the Requester receives a 50% refund; if the Buddy cancels at any time before the session, the Requester receives a full refund. If a session did not take place, report it in the app before the payout is released so we can review it.

5. Your content and conduct

You are responsible for content you post (profile details, photos, messages, reviews). You agree not to post content that is illegal, harassing, hateful, sexually explicit, deceptive, or that infringes others' rights, and not to use the Service to spam, scam, or solicit off-platform payment to circumvent fees. We have zero tolerance for objectionable content and abusive users: you can report any user from their profile or a conversation, and block them at any time. We review reports within 24 hours and may remove content and restrict or terminate accounts at our discretion.

6. Assumption of risk and safety

AlleeUp arranges real-world meetings between people who may not know each other, involving physical exercise. You participate at your own risk. Exercise carries inherent risk of injury — consult a physician before starting any fitness activity. Meet only at public gyms, verify you are comfortable with your session partner, and follow your gym's rules. To the maximum extent permitted by law, AlleeUp is not responsible for the conduct of any user, for injuries, or for losses arising from sessions.

7. Identity verification

A Buddy may display an “ID verified” indicator when they have completed Stripe's identity verification as part of payout onboarding. This is not an endorsement, background check, or guarantee of qualifications, safety, or conduct.

8. Termination

You may delete your account at any time from Profile. We may suspend or terminate accounts that violate these Terms. Sections that by their nature should survive (payments owed, disclaimers, limitation of liability) survive termination.

9. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, AlleeUp's total liability for any claim arising out of the Service is limited to the greater of the fees you paid to AlleeUp in the 12 months before the claim and CAD $100. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify AlleeUp against claims arising from your content, your sessions, or your breach of these Terms.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Courts located in Ontario have exclusive jurisdiction.

12. Changes

We may update these Terms. Material changes will be communicated in the app; continued use after changes take effect constitutes acceptance.
